State Law:

Generally, the state law that you will choose to apply to your construction contract should be the laws of the state where the real estate that is being improved is located. Thus if you are having your kitchen remodeled in your home in California, then you would likely choose to have California laws apply to your contract.

Contractor's Liability Insurance:

Contractor's liability insurance will protect both the real estate owner and the contractor from damages that may occur either to people or property. By having adequate liability insurance, both the contractor and the property owner will be protected from having to pay for damages that may be caused by something the contractor will do while completing the job. Common insurance liability amounts are for $300,000, $500,000 or $1,000,000, but lower or higher amounts can be required. Whatever amount you decide is best for your situation, all you will need to do is enter the amount in the provided space, and we will insert it into your agreement.

Warranty:

The warranty clause will provide that the work will be constructed in accordance with accepted home improvement practices, and that the work will be guaranteed against work and materials defects for a certain amount of years (you will enter the amount of years) after completion. Of course, the clause will state that the warranty does not cover any damages or defects resulting from characteristics common to the materials used, nor from condensation, contraction, or expansion of the materials.

Final Payment or Invoice:

There are two different options for the final payment clause that you will have in your contract. The first option will provide that the amount the owner still owes for the job (after paying the deposit/ down payment), will be due immediately upon completion of the work. The second option provides that once the job is completed, the contractor will submit an invoice to the owner, and the owner will then have a certain amount of days (you specify in the contract the number of days) to pay the amount due.

Liquidated Damages:

Liquidated damages are simply damages that are written into a contract and provide that a certain amount of money will be paid in the event that one of the contracting parties breaches. For this agreement specifically, the clause will provide that should the contractor either be delayed or fail to complete the job when specified, then the contractor will owe the owner a daily amount (the dollar amount will be chosen by you) of damages. The amount of damages cannot exceed the total price of the job that is written into this agreement however. Finally, these damages will not apply if the delay or nonperformance is caused by an act of God, strikes, material unavailability, or any other possibility that is beyond the contractor's control.

Effective Date:

The effective date of your Construction Contract will be the date on which your Construction Contract will take effect. Therefore you will enter the date that you expect your agreement to start or begin.

Job Description:

This is where you will describe the job that is to be completed by the contractor. You should list what the contractor will be expected to do, or, in other words, what it is that the contractor has agreed to fix, repair, upgrade, or build for you. It is also a good idea to attach any plans or drawings made for this project by referring to them at the end of the job description as "Exhibit A." Once you have your printed agreement you can attach what you have labeled as Exhibit A to the document, and it will be considered a part of your agreement.
